ACCEPTABLE USE POLICY

This Acceptable Use Policy (the “AUP”) outlines a list of acceptable and unacceptable conduct when using our Application. This AUP may update from time-to-time, so Authorized Users should regularly check for changes. Capitalized terms used in this AUP but not defined in this policy have the meaning set forth in the User Terms of Service.

BY CLICKING THE “AGREE” BUTTON OR DOWNLOADING, INSTALLING, OR USING THE APPLICATION, YOU (A) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THE TOS; (B) REPRESENT THAT YOU ARE 18 YEARS OF AGE OR OLDER/OF LEGAL AGE TO ENTER INTO A BINDING AGREEMENT; AND (C) ACCEPT THE AUP AND AGREE THAT YOU ARE LEGALLY BOUND BY ITS TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT DOWNLOAD, INSTALL OR USE THE APPLICATION.

1. Prohibited Activities. Authorized Users shall not:

a. share, transfer, or otherwise provide access to your Tractics account to another person;

b. allow unauthorized users to access the Application, including via sharing passwords;

c. attempt to gain access to or use any part of the Application for which you have not been granted explicit authorization;

d. monitor any data or communications related to the Application without authorization;

e. impersonate any person or misrepresent yourself or affiliation with a person or organization;

f. use the Application in any manner or for any purpose not expressly permitted in the TOS, the agreement between the Customer and Tractics, or in any policy applicable to and available on the Application;

g. use the Application to engage in or promote any illegal activities, including but not limited to, violation of intellectual property rights, data privacy laws, or any other applicable local, state, or federal laws;

h. upload to or transmit from the Application any data, file, software, or link that contains or redirects to a virus, malware, Trojan horse, or other harmful component or a technology that unlawfully accesses or downloads content or information stored within the Application or on the hardware of Tractics or any third party;

i. attempt to gain unauthorized access to the Application or related systems or networks to defeat, avoid, bypass, remove, deactivate, or otherwise circumvent any software protection or monitoring mechanisms of the Application;

j. conduct testing, probing, vulnerability, or penetration testing of the Application or associated network;

k. attempt to reverse engineer, disassemble, decompile, hack, disable, interfere with, modify, copy, translate, or disrupt the features, functionality, integrity, or performance of the Application, any third party use of the Application, or any third party data contained therein (except to the extent such restrictions are prohibited by applicable law);

l. use the Application to engage in harassing, threatening, stalking, or abusive behavior, or otherwise engage in or incite behavior that is violent or harmful to others, including transmitting or storing any content that is defamatory, obscene, pornographic, fraudulent, unlawful, invasive of privacy, or otherwise objectionable;

m. use automated tools, scripts, bots, or other means to access, scrape, or perform any activities on the Application that could impose an unreasonable load on our infrastructure;

n. build a similar or competitive product or service, or copy any ideas, features, or functions of the Application;

o. collect or use the contact or other user information obtained from the Application to contact Authorized Users, either directly or by sending to a third party, outside of the Application without their express permission; or

p. sell, rent, resell, lease, or sublicense any of the rights granted to you with respond to the Application.

2. Acceptable Use. Authorized Users shall:

a. comply with the TOS and this AUP;

b. comply with all applicable laws and regulations, including, but not limited to, data, privacy, intellectual property, and export control laws;

c. only upload Customer Data to which the Sponsor or Authorized User owns all required rights;

d. use commercially reasonable efforts to prevent unauthorized use of or access to the Application, including maintaining strong passwords that are kept confidential;

e. promptly notify Tractics of a suspected or known breach of your Tractics account;

f. promptly notify Tractics of suspected or known illegal activity involving the Application;

g. ensure the email address associated with your Tractics account remains current, and that you’re able to access the inbox to receive messages and notifications from Tractics.

Authorized Users are encouraged to report any violations of the TOS or this AUP by contacting Tractics at legal@tractics.io, providing detailed information regarding the suspected violation to assist in the investigation and resolution. Tractics reserves the right to analyze information to protect the safety of Sponsors and Authorized Users, and to identify illegal activity.
